EDS Upload - License Agreement

1. Grant of License

Ofni, LLC and Secure Discovery Solutions, LLC ("Licensors") grant you a non-exclusive, non-transferable license to use the EDS Upload software ("Software") solely for authorized secure file upload and electronic discovery purposes.

2. Authorized Use

You may use this Software only if you:

Have legal authorization to access and analyze the documents and data
Are authorized personnel within your organization
Comply with all applicable laws and regulations regarding electronic discovery
Maintain appropriate security measures to protect sensitive information

3. Confidentiality and Non-Disclosure

CRITICAL: You agree to:

NOT share, distribute, or disclose any sensitive information accessed through this Software to unauthorized persons
Maintain strict confidentiality of all client data, case information, and documents
Implement appropriate security measures to prevent unauthorized access to sensitive information
Report any security breaches or unauthorized access immediately
Use information solely for authorized legal purposes within your organization

4. Restrictions

You may NOT:

Reverse engineer, decompile, or disassemble the Software
Share login credentials or access with unauthorized personnel
Use the Software for any unlawful purposes
Remove or modify any copyright notices or proprietary markings
Create derivative works based on the Software

5. Data Security and Privacy

The Software processes sensitive legal information locally on your device. We do not store or transmit your document data to external servers. Your privacy and data security are paramount.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT SHALL LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Termination

This license terminates automatically if you breach any terms. Upon termination, you must cease all use of the Software and destroy any copies in your possession.

9. Governing Law

This Agreement is governed by the laws of the jurisdiction where Licensors are located, without regard to conflict of law principles.
